PARTICIPATION

Welcome to CyberScramble®! To participate and play CyberScramble® all players must register obtaining a username and password. Once registered, play the game to have fun, accumulate points and win cool prizes. At the sole discretion of CyberScramble®, Raffle or Contest entries may be earned in a variety of ways.

To become and remain a registered CyberScramble® player, you must have Internet access and a valid e-mail account. CyberScramble is not responsible for a player's inability to: connect to the Internet, log on to the CyberScramble® website, gain access to their CyberScramble® account or participate in any activity associated with this game, service outages or delays, computer difficulties or other technological glitches. CyberScramble® is free and no purchase is necessary.

The points you accumulate in CyberScramble® are only available to be used at CyberScramble® and are not available to be used or combined in any way to enter or win any affiliate radio station sponsored raffles, lotteries, auctions, store or casino and may only be used to enter a Raffle or Contest for a chance to win one of the CyberScramble® prizes; prizes for these Raffles or Contest can be found on the CyberScramble® Prize Vault page, by clicking on the door of the Prize Vault. Please read the Official Rules to learn who can enter and how the prizes will be awarded. The username that you have registered with your radio stations Internet loyalty program may or may not be available to you as your username with CyberScramble®.

ELIGIBILITY

Unless otherwise specified, Raffles and Contests are open to all players who are legal U.S. residents age 13 years or older. Not eligible are employees of the CyberScramble®, employees of affiliate radio stations, licensees, subsidiaries, participating sponsors/promotional partners, other radio on-air/on-line stations and the members of their immediate families and/or households.

Participation is expressly limited to one account per person. Points/Entries are non-transferable and may not be earned in advance. All duplicate accounts or suspected duplicate accounts are subject to cancellation without notification by CyberScramble®. E-mail addresses may not be shared between players; therefore, each account needs to have a unique, valid e-mail address associated with it.

Only one prize vault (1) prize per household for any prize vault Raffle or Contest. Only one (1) prize vault Raffle or Contest prize per household within any twelve-month (one year) period. Winners of Raffles or Contests will not show up on Leaderboards during the following twelve-month (one year) period, but can continue to amass points to their account in the event, at our sole discretion, we elect to run an award program or programs based on lifetime points earned.


Accounts which have an excessive number of rejected e-mails may be automatically locked, preventing the player from accessing the CyberScramble® Game until they contact CyberScramble® Support via 'feedback' and provide an alternate e-mail address. Repeated problems with e-mail delivery to a player may result in permanent suspension of the member's account.

No machines, scripts or automated services may be used to access any part of the CyberScramble® game, accumulate any points/entries, or in any other way participate in this program. Any attempt to saturate the CyberScramble® system's resources by making continuous automated requests to the system is not permitted, and is grounds for account suspension or termination at the sole discretion of CyberScramble®.

CyberScramble® reserves the right to (1) disqualify any player from receiving a cash award or prize award and (2) suspend or permanently terminate any account, where CyberScramble®, at its sole discretion, determines that the player has violated any of these rules, made any misrepresentation in connection with this program, or used any unintended/unannounced means to accumulate or redeem CyberScramble® points.

CyberScramble reserves the right to use any listener feedback in any way they choose.
PRIZE VAULT PRIZE AWARDS

Upon winning a prize the player will be contacted by either telephone or email address provided notifying the player of their winning, the prize, and information that need be completed and returned to CyberScramble® including how and where to redeem the prize.

At the sole determination of CyberScramble®, some prizes may be mailed to the winner and the winner must provide CyberScramble® with their United States Postal Service shipping information within thirty days (30) after request. The winner will forfeit any prize or prize certificate if the winner is unable to be contacted by CyberScramble® within thirty (30) days after winning. In the event that a prize is mailed to the winner, it will be with the prior written consent of the winner and therefore, winner assumes the risk of its loss. CyberScramble® is not responsible for the safe arrival of a prize. Any lost or undelivered prize will not be replaced. There is no substitution, transfer, or cash equivalent for prizes, except that CyberScramble® may, at its sole discretion, substitute prizes of comparable value or cash. The prizes are expressly limited to the item(s) described at the time of the wining notification and do not include taxes, gratuities or any other expenses, which are the sole responsibility of the winner. Other restrictions may apply. Decisions of CyberScramble® and its station affiliates with respect to the Raffles or Contest are final.

All award claims are subject to verification by CyberScramble® Management. All decisions made by CyberScramble® are final.

Prizes and awards will be awarded and distributed at the sole discretion of CyberScramble®. CyberScramble® reserves the right to change the amount of points at any time at its sole discretion, required to purchase a Raffle or Contest entry for any prize.



TAXES

Payments of all federal, state and local taxes are solely the responsibility of the winners. Winners may be required to sign an IRS Form W-9 or the equivalent. Any winner who receives one (1) prize with a value of $600.00 or more will be required to execute a release form and a Form W-9, and will be issued a Form 1099 for the fair market value of the prize. Any winner who receives a cash prize (regardless of dollar amount) will be required to execute a release form, a Form W-9 and must provide a valid picture ID and proof of social security number in order to accept prize. To the extent that any prize consists of airline tickets and/or hotel reservations, CyberScramble® and its stations affiliates are not responsible for any cancellation, postponement, or overbooking. Unless we inform you otherwise, prizes are not transferable or redeemable for cash. Any misplaced or lost prize will not be replaced. By participating in the Raffle or Contest, the winner or winners agree to have their name, voice, or likeness used in any advertising or broadcasting material relating to the Raffle or Contest without additional financial or other compensation, and, where legal, to sign a publicity release confirming such consent prior to acceptance of the prize.
HOW TO REDEEM POINTS / ENTER TO WIN PRIZES

At the sole discretion of CyberScramble®, Raffle and Contest entries may be gained in a variety of formats.

In some instances, a player will need to achieve a certain number of points to qualify for a Raffle or Contest. After achieving the appropriate point level, the player may be required to redeem his/her points by clicking on the redeem points button in the prize vault. In other instances, a player will need to achieve a certain number of points to qualify for a Raffle or Contest and after achieving the appropriate point level they will be automatically entered into the Raffle or Contest. At the sole discretion of CyberScramble®, one or multiple entries to the same Raffle or Contest will be allowed.

Player points/entry totals are subject to adjustment, and player accounts are subject to suspension or cancellation, by CyberScramble® for any activity which is in violation of any rules, or which is not in compliance with the intent of the program. CyberScramble® shall be the sole determiner in cases of suspected abuse or violation of the rules, and any decision it makes relating to adjustment of points/entries or termination of players account shall be final and binding. Should the player disagree with any points/entries adjustment or account suspension, the sole remedy will be withdrawal from the program.

CyberScramble makes no representations whatsoever regarding the value, if any, of points/entries earned as a result of participation.






AWARDING PRIZES

Throughout any single or multiple Raffle or Contest, prizes may be added or removed in the Prize Vault. Players are requested to check the Prize Vault regularly for an update of the prizes, which may be available.

At CyberScramble® sole discretion and determination, the Raffles or Contest prizes may be awarded as part of a national contest or sweepstakes and are available to all players nationwide or they may be an affiliate radio station Raffle or Contest and awarded to players from a selected region, area or affiliate radio station.
TERMS & CONDITIONS

The act of participation in the CyberScramble® game by players, winners and qualifiers constitutes permission to CyberScramble®, its affiliates and sponsors, and its agencies to use the players name and/or likeness for the purposes of advertising and trade without further compensation.

CyberScramble®, in its sole discretion, reserves the right to disqualify any person tampering with the entry process, the operation of the CyberScramble® game, or is otherwise in violation of the rules. It further reserves the right to cancel, terminate or modify the Raffle or Contest if it is not capable of completion as planned, including infection by computer virus, bugs, tampering, unauthorized intervention or technical failures of any sort.

CyberScramble® reserves the right to substitute an item of equivalent or greater value should an original item awarded to a player become unavailable. Point values associated with any award can be changed or modified at any time.

CyberScramble® reserves the right to disqualify any member from receiving a cash or prize award, where CyberScramble®, at its sole discretion, determines that the player has misrepresented or used unintended/unannounced means to accumulate points/entries to purchase prizes.

Players may be asked to supply personal information. CyberScramble® may collect information (without identifying individuals) for market research purposes to gain a better understanding of our customers and to provide better services by utilizing information.

CyberScramble® reserves the right to discontinue, suspend or modify the games at any time, including the termination of all opportunities to use or otherwise redeem accumulated CyberScramble® points. From time to time CyberScramble® may decrease or zero out the points in all CyberScramble® player accounts. At those times all accounts will either start at zero points or be decreased by an amount or percentage to be determined by CyberScramble® and all unused points will no longer be valid. Players will be notified if and when the points deduction will take place. Failure to comply with the CyberScramble® rules may result in a player's disqualification at the sole discretion of CyberScramble®.



Prior to awarding any prize or prize certificate CyberScramble® and its affiliates in their sole discretion may require Raffle and Contest winners (and their travel companions, if any) to sign a liability release, agreeing to hold CyberScramble® and its stations affiliates, its corporate licensee, its parents, subsidiaries, and affiliated corporations, and the officers, shareholders, directors, employees, agents and representatives of each of them harmless against any and all claims or liability arising directly or indirectly from the prize or participation in the Contest. CyberScramble® and its affiliates reserve the right to make changes in the Rules of the Contest, including the substitution of a prize or equivalent value, which will become effective upon announcement. If due to circumstances beyond the control of CyberScramble® and its affiliates, any competition or prize-related event is delayed, rescheduled, postponed or cancelled. CyberScramble® and its affiliates reserve the right, but not the obligation, to cancel or modify the Raffle or Contest and shall not be required to award a substitute prize. Failure to comply with the Contest rules may result in players disqualification solely at the discretion of the CyberScramble®. CyberScramble and its affiliates are not responsible for typographical or other errors in the printing, the offering, or the administration of the Contest, or in the

announcement of a prize.
SWEEPSTAKES

CyberScramble® may from time to time run Sweepstakes. No purchase, contribution or payment of any kind is necessary to enter or win. Void where prohibited or restricted. See specific details for each individual CyberScramble® Sweepstakes.

ELIGIBILITY. CyberScramble® Sweepstakes are open to legal residents of the United States, (the "Eligibility Area"). Only individuals may enter; no entry form from any corporation or other entity shall be accepted. Sweepstakes entries are VOID outside of the Eligibility Area and where otherwise taxed, prohibited or restricted. Employees, officers and directors of CyberScramble® (the "Sponsor") and its affiliates, subsidiaries, advertising, sweepstakes, fulfillment, marketing agencies, public relations firms, consultants and contractors, their immediate families (defined as spouse, child, sibling, parent or grandparent) and those living in their same households are ineligible to participate in this Sweepstakes. By participating, entrants: (1) agree to these Official Rules, and the decisions of CyberScramble®, which shall be binding and final in all respects; (2) acknowledge that CyberScramble® has not made nor is in any manner responsible or liable for any warranty, representation, or guarantee, expressed or implied, in fact or in law, relating to any prize; and (3) warrant that he/she is eligible to participate in this Sweepstakes.

SCRAMBLEGRAM™ SWEEPSTAKES. To enter the CyberScramble® Sweepstakes, and in the event you have received a ScrambleGram™ Sweepstakes simply click 'ENTER' to enter and proceed to comlete your official entry form. Fill in your first name, last name, e-mail address and complete all information fields required and hit the 'SUBMIT' button. No Purchase Required. Online entry eligibility will contain a 'received by' Eastern Time and date on the sweepstakes notifying eligibility. Entries received by CyberScramble® after the end of the Sweepstakes Period will be discarded and deemed void. No changes to any entry information will be permitted once submitted. No mechanically reproduced entries are permitted. All entries become the property of


CyberScramble® and will not be acknowledged or returned. LIMIT ONE ENTRY PER PERSON PER HOUSEHOLD.

SELECTION OF SWEEPSTAKES WINNER: The potential winner(s) will be selected in a random drawing to be held on or about the date announced by CyberScramble®. The potential winners will be selected from all eligible entries who took the required actions during the Sweepstakes Period. Odds of winning will depend on the number of eligible entries received during the Sweepstakes Period. The potential winners will be notified via e-mail to the e-mail address associated with his/her entry within two (2) weeks after the drawing ("Prize Award Period"). The drawing will be conducted by the Sponsor and CyberScramble®, the judges of the Sweepstakes, whose decisions on all matters relating to the Sweepstakes shall be final and binding. At the sole discretion of the judges, disqualification, forfeiture and the selection of an alternate winner may result from any of the following: (1) a potential winner's failure to respond to notification within seven (7) days after its transmission; (2) the return of an email notification as undeliverable after three (3) attempts; (3) a potential winner's failure to provide judges with satisfactory proof of age, identity and residency; (4) a potential winner's failure to execute and return an Affidavit of Eligibility/Liability/Publicity Release within seven (7) days after its transmission; (5) a potential winner's failure to validly claim the prize by the specified date publicized; and (6) any other non-compliance with the Official Rules. In the event of a prize forfeiture, the judges may, in their sole discretion, award or not award the forfeited prize to an alternate winner.

All taxes on the prize, if any, and other expenses related to accepting and/or using a prize not listed in these rules, including travel to/from the prize, are the sole responsibility of each winner. All prizes will be awarded, provided that they are validly claimed by the specified date publicized, after which no alternate winner will be selected, nor unclaimed prizes awarded.

GENERAL RULES: By entering or participating in the Sweepstakes, participants agree to be bound by these Official Rules, and by the decisions of the judges, which are final and binding in all respects. Sweepstakes Entities are not responsible for: (1) any incorrect or inaccurate information or technical failures of any kind, (2) unauthorized human intervention in any part of the entry process or the Sweepstakes; or (3) any other computer, network, technical, human or other error, problem or malfunction that may occur in connection with the administration of the Sweepstakes, the processing of entries, or the selection or notification of winners. Further, if, for any reason, the Sweepstakes is not capable of running as planned for reasons outside the control of the judges which, in the sole opinion of judges, may corrupt or affect the administration, security, fairness, integrity or proper conduct of the Sweepstakes (or portion thereof), judges reserve the right, at their sole discretion, to cancel, terminate, modify or suspend the Sweepstakes (or portion thereof). Judges also reserve the right at its sole discretion to disqualify the Entry of any individual found to be (a) tampering or attempting to tamper with the entry process or the operation of the Sweepstakes or any website operated by the Sweepstakes Entities; (b) using any robotic, macro, automatic, programmed or like entry methods, which will void all such entries; (c) violating these Official Rules or the terms of service, conditions of use, and/or general rules of any property or service; or (d) acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten, or harass any other person. Sweepstakes Entities are not responsible for claims, injuries, losses or damages of any kind resulting, in whole or in part, directly or indirectly, from the

awarding, delivery, acceptance, use, misuse, possession, loss or misdirection of the prize; participation in this Sweepstakes or in any activity or travel related thereto or from any interaction with, or downloading of, computer Sweepstakes information.

PARTICIPANT OBLIGATIONS: By entering, each entrant agrees to defend, indemnify, release and hold harmless Sweepstakes Entities from and against any and all losses, demands, damages, rights, claims, actions and liabilities of any kind arising out of or related to (i) entrant's participation in the Sweepstakes or (ii) entrant's participation in any prize-related activities (including, without limitation, any property loss, damage, personal injury or death caused to any person(s)). The winners assume all liability for any injury, death, or damage caused, or allegedly caused, by participating in this Sweepstakes or use or redemption of the prize. Any disputes that may arise hereunder shall be governed in all respects by the laws of the State of Delaware without regard to the conflicts of laws principles of any jurisdiction. Venue with respect to any such disputes shall be had in the state and federal courts of the State of Delaware. All taxes are the responsibility of the winners, who may receive an IRS Form 1099 reflecting the final actual value of the prize, if applicable.

PERSONAL INFORMATION: The personal information collected through this Sweepstakes is subject to the CyberScramble® Privacy Policy. By entering a Sweepstakes, you agree to the use of your personal information as described in the Privacy Policies.



GENERAL CONDITIONS. Where permitted by law, winners grant CyberScramble® and their sponsors affiliates and their respective designees the right to use and publish their proper name in connection with the Sweepstakes. Acceptance of any prize also constitutes permission for CyberScramble® and its subsidiaries and affiliates to use any prize winner's name, likeness and/or biographical information for advertising, trade, publicity and promotional purposes in any media now known or hereafter devised without review, notification, approval, or compensation, unless otherwise prohibited by law.

DISQUALIFICATION. The use of robotic, automatic, macro, programmed or like methods (including, without limitation, the use of any promotion/sweepstakes subscription, notification, entry or like sites or services that offers sweepstakes entry services "on behalf of" entrant) is strictly prohibited. Any false information provided by any entrant concerning his/her identity or mailing address or any non-compliance by an entrant with these Officials Rules may result in the immediate disqualification of the entrant from the Sweepstakes. Persons found tampering with or abusing any aspect of this Sweepstakes, as solely determined by CyberScramble®, will be disqualified. If disqualified, CyberScramble® reserves the right to terminate the person's eligibility to participate in this and future promotions and sweepstakes of CyberScramble® or any of its subsidiaries or affiliates. ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, CYBERSCRAMBLE® RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW. In the event any portion of this Sweepstakes is compromised by any non-authorized human intervention, action of entrants, or other causes beyond the control of CyberScramble® which, in the sole opinion of CyberScramble®, corrupt or impair the integrity, administration, security, or operation of the Sweepstakes, CyberScramble® reserves the right, at its sole discretion, to suspend or terminate the Sweepstakes and award the prizes from all eligible entries received prior to the action or compromise giving rise to the suspension or termination of this Sweepstakes.

CYBERSCRAMBLE® IS NOT RESPONSIBLE OR LIABLE FOR: (1) ANY TYPOGRAPHICAL OR PRINTING ERRORS; (2) LATE, LOST, ILLEGIBLE, INCOMPLETE, STOLEN, MISDIRECTED, OR POSTAGE-DUE MAIL; (3) INCORRECT OR INACCURATE ENTRY INFORMATION, WHETHER CAUSED BY ANY OF THE EQUIPMENT OR PROGRAMMING ASSOCIATED WITH OR UTILIZED IN THIS SWEEPSTAKES OR BY ANY HUMAN ERROR WHICH MAY OCCUR IN THE PROCESSING OF THE ENTRIES IN THIS SWEEPSTAKES; (4) ANY TECHNICAL ERRORS INCLUDING, BUT NOT LIMITED TO, TECHNICAL MALFUNCTION OF ANY TELEPHONE NETWORK OR LINES, COMPUTER ONLINE SYSTEMS, SERVERS, OR PROVIDERS, COMPUTER EQUIPMENT, SOFTWARE, FAILURE OF ANY E-MAIL ON ACCOUNT OF TECHNICAL PROBLEMS OR TRAFFIC CONGESTION ON THE INTERNET OR AT ANY WEBSITE, OR ANY COMBINATION THEREOF; OR (5) ANY OTHER ERRORS IN THE ADMINISTRATION OF THE SWEEPSTAKES. IN NO EVENT WILL CYBERSCRAMBLE®, THE SPONSORS OR THEIR RESPECTIVE SUBSIDIARIES, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE RESPONSIBLE OR LIABLE FOR ANY INDIRECT, INCIDENTAL, EXEMPLARY, EXPECTATION, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF THIS SWEEPSTAKES, ANY ACCEPTANCE, POSSESSION, USE OR MISUSE OF THE PRIZE(S) AWARDED IN CONNECTION WITH THIS SWEEPSTAKES, OR CLAIMS BASED ON PUBLICITY RIGHTS OR INVASION OF PRIVACY.

RELEASE. By participating in Sweepstakes, entrants release and hold CYBERSCRAMBLE® and its subsidiaries, affiliates, officers, directors, employees and agents harmless from any and all liability, claims or actions of any kind whatsoever arising out of participation in the Sweepstakes, preparing for, participating in, and/or traveling to and from taking delivery of any prize or any prize-related activity, and acceptance, possession, use or misuse of a prize. Except where prohibited, entrants agree that any and all disputes which cannot be resolved between or among the parties and any claims or causes of action arising out of or connected with this Sweepstakes, any prize awarded, or the determination of winners shall be resolved individually, without resort to any form of legal class action.

GENERAL INFORMATION. The failure to exercise or enforce any right or provision of these Official Rules shall not constitute a waiver of such right or provision. If any part of these Official Rules is held by a court of competent jurisdiction to be invalid or unenforceable, that part will be enforced to the maximum extent permitted by law, and the remainder of these Official Rules will remain fully in force.
